1. Acceptance of Terms

By accessing or using ISPCentre ("the Service"), you acknowledge that you have read and agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree to these terms, please do not use the Service. We reserve the right to modify these terms at any time, and continued use of the Service constitutes acceptance of such modifications.

2. Service Description

ISPCentre provides a comprehensive Software-as-a-Service (SaaS) platform designed to streamline billing and network operations for Internet Service Providers. Our services include:

  • Comprehensive billing management and invoice generation
  • MikroTik router management and monitoring
  • Customer account administration and self-service portals
  • Hotspot and PPPoE configuration management
  • IP Pool management (static and dynamic)
  • Integrated payment gateway support
  • RADIUS authentication integration
  • Customer loyalty and referral programs
  • Comprehensive analytics and reporting
  • SSL security and data encryption

The Service is provided "as is" without warranties of any kind. Features and functionality may be updated, modified, or discontinued at our discretion.

3. Account Management

3.1 Account Creation

When creating an account, you must provide accurate, complete, and current registration information. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach.

3.2 ISP Identifier

Each ISP is assigned a unique identifier for multi-tenant separation. This identifier is used for customer portal access and must be kept secure. You are responsible for communicating this identifier to your customers appropriately.

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including admin passwords, RADIUS secrets, API keys, and payment gateway credentials. Any compromise of these credentials must be reported immediately.

4. Service Usage and Restrictions

You agree not to:

  • Use the Service for any illegal purpose or in violation of any local, state, national, or international law
  • Interfere with or disrupt the Service or servers/networks connected to the Service
  • Attempt to gain unauthorized access to any portion of the Service or any other systems or networks
  • Share your account credentials with unauthorized parties
  • Use the Service to transmit malware, viruses, or any code of a destructive nature
  • Attempt to reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to send unsolicited communications (spam)
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Overload or attempt to overload our infrastructure through excessive API calls or automated scripts

5. Payment and Billing

5.1 Subscription Plans

ISPCentre offers various subscription plans with different features and pricing tiers. You agree to pay all fees associated with your chosen plan. Fees are billed in advance on a monthly or annual basis as selected.

5.2 Payment Terms

Payment can be made via mobile money, bank transfer, or other approved payment methods. All fees are stated in Kenyan Shillings (KES) unless otherwise specified. We provide conversion rates for currencies of supported countries, and a currency calculator is available on our Plans page. You are responsible for all applicable taxes.

5.3 Late Payments

Late payments may result in service suspension or termination. We reserve the right to charge interest on overdue amounts at a rate of 2% per month.

5.4 Fee Changes

We may adjust our fees with thirty (30) days' advance notice. Continued use of the Service after fee changes constitutes acceptance of the new fees.

5.5 Transaction Fees

Payment gateway fees are passed through to ISPs and their customers as applicable. We are not responsible for third-party payment processor fees or failures.

7. Data Protection and Privacy

We take data protection seriously and implement industry-standard security measures:

  • AES-256 encryption for sensitive data at rest (passwords, API keys, payment credentials)
  • TLS/SSL encryption for all data in transit
  • Regular security audits and penetration testing
  • Strict access controls and multi-factor authentication options
  • Automated daily backups with point-in-time recovery
  • Compliance with Kenya Data Protection Act 2019

8. Service Availability and Support

While we strive for 99.9% uptime, we cannot guarantee uninterrupted service. Scheduled maintenance will be announced in advance when possible. Emergency maintenance may occur without notice. We are not liable for any damages resulting from service interruptions.

Support is provided via email, WhatsApp, and our support ticket system. Response times vary by subscription plan.

9. Intellectual Property

The Service and all its content, features, and functionality (including but not limited to software, designs, text, graphics, logos, and trademarks) are owned by ISPCentre and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service or software, nor may you reverse engineer or attempt to extract the source code, unless laws prohibit these restrictions or you have our written permission.

Your customer data remains your property. We claim no ownership rights to the data you input into the Service.

10. Limitation of Liability

To the maximum extent permitted by law, ISPCentre shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use the Service
  • Unauthorized access to or alteration of your transmissions or data
  • Statements or conduct of any third party on the Service
  • Service interruptions or downtime
  • Bugs, viruses, or other harmful code in the Service
  • Payment processor failures or errors
  • Loss of customer data due to customer error or third-party actions

Our maximum aggregate liability for all claims shall not exceed the total amount paid by you to ISPCentre in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless ISPCentre and its officers, directors, employees, contractors, and agents from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your customer data or your customers' use of their services

12. Termination

We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice, for any reason including breach of these Terms. You may terminate your account at any time through the Service settings or by contacting support.

Upon termination:

  • Your right to use the Service ceases immediately
  • You will receive a data export of your customer information (available for 30 days)
  • We will delete your data after 30 days unless required by law to retain it
  • No refunds will be provided for unused subscription time unless stated in our Refund Policy
  • You remain liable for all fees incurred prior to termination

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through:

  1. Good faith negotiation between the parties
  2. If negotiation fails, mediation in Nakuru, Kenya
  3. If mediation fails, arbitration in accordance with the Arbitration Act of Kenya

The Kenyan courts shall have exclusive jurisdiction over any disputes that cannot be resolved through arbitration.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through a prominent notice in the Service at least 30 days before the changes take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and ISPCentre regarding the use of the Service and supersede all prior agreements and understandings.
